Terms of Use

This document contains the terms and conditions determining how TransportOffice. NET provides its subscribers with access to the specialized electronic gate"TransportOffice. NET" .

I. Subject and General Terms

1. These General Terms and Conditions specify the relations between "TransportOffice. NET" Ltd and subscribers and users of the specialized web gate for transport and shipping information "TransportOffice. NET", arising from providing and using information and services from this gate.

2. Each examination and/or use of information and/or services rendered by this gate automatically leads to acceptance and unconditional consent with respect to these General Terms and Conditions.

3. Subscriber of gate-services in the sense of these General Terms and Conditions means any corporate body of commercial company in the sense of Art. 7 of the Commercial Act, registered in compliance with the terms and conditions of items 9-20 regarding users of services rendered by TransportOffice. NET System, hereinafter referred to as “The System”.

4. User, according to the sense of these General Terms and Conditions means any person who uses and/or examines the System, weather subscribed or not.

5. These General Terms and Conditions are binding for "TransportOffice. NET", subscribers and users.

II. Terms and conditions of using TransportOffice. NET system services.

6. Within the main subscription, "TransportOffice. NET" provides to the subscribers full and unlimited access to TransportOffice. NET web-gate, providing information about those companies that are searching for shipping and transport services.

7 . "TransportOffice. NET" also offers the following services subject to supplementary agreement

1. Advertising

2. Making and supporting websites.

3. Other Services

8. In order to avoid anonymity and to undertake liability during online chats, participation in forums, announcement, etc., each subscriber shall receive a user’s nickname consisting of user’s first name and surname, ending by the name of the respective company, for instance of the kind. Each user belonging to any subscribed company shall have an own password for access to the system.

9. Main-service subscription shall take place by filling the form "Registration Order" with the necessary data and submitting the necessary documents/copies, as follows: Tax registration, Court Resolution of Company's Registration, Shipping License.

10. "TransportOffice. NET" preserves the right to require other documents from the other party if necessary.

11. "TransportOffice. NET" shall grant a free-of-charge period of ten (10) days to users and subscribers, and after the expiration of this period the access to the gate shall be ceased if no payment is made to the bank account set forth in item 16.1 hereof. The initial registration during the free-of-charge period shall not bind any user to make compulsorily a further registration or to pay the subscription fee respectively.

12. Subscribers are not allowed to transfer their subscriptions to third entities without "TransportOffice. NET" explicit consent in writing.

13. In case the subscriber provides someone else with his/her password for access to the services provided by our system, this subscriber shall remain holder of the rights and obligations derived from Chapter IV hereof.

14. Subscriber’s registration may be ceased in the following cases:

14.1. Cessation of services upon Subscriber’s request.

Subscriber may ask "TransportOffice. NET" to stop rendering the services by a one-week notification in writing to "TransportOffice. NET", after covering all amounts due.

Prepaid subscription fees are not returnable.

14.2. Cessation of services by "TransportOffice. NET".

In case of user’s unscrupulous attitude and non-fulfilment of the obligations hereof, meaning data misuse, violation of Bulgarian laws and/or international conventions and foreign laws regulating the legal application of informational and/or other Internet resources, as well as in case of any violation of Ethics and good manners in online medium and/or any commitment of any other illegal acts, "TransportOffice. NET" shall be entitled to stop the access to the system.

14.3. Immediate cessation of services by "TransportOffice. NET".

TransportOffice. NET shall be entitled to cease immediately and without any previous notification or warning the access to any user of the system, if a misuse by the user has been noted consisting of the acts described in item 14.2 or of some other premeditated and/or malicious intentions.

15. Registration Renewal

15.1. Registration may be renewed paying the charges due and prepaying for the services as stipulated hereby within 48 hours after the presentation of Registration Renewal Order and payment.

15.2. TransportOffice. NET preserves the right to refuse registration renewal to any user whose access has been ceased through user’s fault according to the terms and conditions stipulated by 14.2 or 14.3 hereof.

15.3. TransportOffice. NET may request additional deposits at its discretion in order to avoid future losts.

16. Payment of services

16.1. Users shall pay for the services to the bank account of "TransportOffice. NET" according to the prices currently valid on the date of payment.

16.2. The monthly subscription fee must be prepaid from 1st through 5th day of current month

16.3. In case the subscription period does not expire at the end of the respective calendar month, the subscriber shall pay the subscription fee not later than the last day before expiration of the respective subscription period.

16.4. In case of non-payment within the above said periods according to item 16.2 or 16.3, the access to the system shall be automatically ceased upon expiration of the respective period.

17. "TransportOffice. NET" preserves the right to change prices for the services rendered.

18. Technical conditions: Subscriber must have PC provided with the necessary software, modem or any other technical facilities with access to Internet.

III. RIGHTS AND OBLIGATION OF “TransportOffice. NET”

19. "TransportOffice. NET" is obliged to provide its subscribers with uninterrupted (24 hours) access to the site according to the main service provided.

20. "TransportOffice. NET" is hereby obliged to keep confidentiality with respect to its subscribers.

21. "TransportOffice. NET" shall not bear any responsibility regarding the quality of services, if technical means out of order (PC, modem, etc.) and/or incorrectly configured software have been used, or through Internet Provider’s fault.

22. "TransportOffice. NET" shall not bear responsibility regarding the quality of services in case of traffic interferences that are within the scope of responsibilities of TransportOffice. NET's Internet provider.

23. "TransportOffice. NET" does not undertake to provide third entities with any Subscriber's information unless it is legally requested or upon Subscriber’s previous consent.

24. "TransportOffice. NET" shall not be responsible for the veracity of the data and any other information provided by users and subscribers, as well as with respect to the reliability and contents of announcements, convocation to forums and speeches pronounced thereat.

25. "TransportOffice. NET" shall not be responsible for damages:

25.1. Derived from deals made between subscribers and/or users of the system

25.2. Due to incorrect, unauthentic or misleading information and/or data provided by subscribers and/or users of the system; to any information taken from published news and/or other information sources, as well as for damages caused by undesired electronic interchange (spam).

25.3. Due to Force-Majeure circumstances in the sense of Art. 306 of the Commercial Act;

26. "TransportOffice. NET" shall not, in no way, bear any responsibility with respect to any direct, indirect, specific and accidental consequent damages due to the use of the software provided, including damages whose possible occurrence has not been communicated to the client.

27. "TransportOffice. NET" shall not bear any responsibility regarding any additional costs due to the use of the software, including, but not limited to, lost of data, expenditures incurred for the restoration of data and/or database, costs related to replacement of software, third entities’ claims and other of the sort.

28. "TransportOffice. NET" shall not exert any control and shall not bear any responsibility with respect to any information contained in the web pages of all the out sources to which it forwards any information from the gate using hyperlinks.

29. "TransportOffice. NET" preserves the right to make changes in the gate in order to maintain, develop and/or improve the quality of the main service, as well as to enlarge the scope of the services rendered.

30. "TransportOffice. NET" is entitled to block temporarily (entirely or partially) subscriber’s access to the system for 24 hours for the purposes of monthly prophylaxis, improvements of service quality, extensions, innovations and other modifications of the system. Subscribers shall be previously informed about the exact schedule of the temporary blocking of the access to the system by well-visualized publications in the electronic gate.

IV. Subscriber’s Rights and Liabilities

31. Subscribers are obliged to observe these General Terms and Conditions with respect to the use of the services rendered.

32. Subscribers are obliged to pay the respective charges against the services rendered at the rate established by "TransportOffice. NET" and according to the terms and conditions stipulated by Items 16.1 – 16.4.

33. Subscribers are obliged NOT to provide third entities with his/her own service-access parameters.

34. Subscribers are obliged not to commit any acts that can jeopardize in any way the contents of the gate, the other subscribers, as well as not to use the information submitted in the gate for their own, independent commercial purposes. The restrictions stipulated by this clause shall not be valid in the cases of an agreement achieved in writing entitling the subscribers to use the information resources of the system.

35. Subscribers are entitled to use the services rendered in accordance with the terms and conditions hereof.

V. Copyrights and other rights

36. The software, the content of TransportOffice. NET electronic gate, as well as its graphic layout are an exclusive property of "TransportOffice. NET" and are under the protection of the legislation in force regarding copyrights and similar.

37. Any use of contents, software and graphic interface of the gate with commercial or any other purpose in order to create, publish, multiplicate and spread own data and/or database, graphic interface or otherwise in electronic, printed and/or any other form, as well as their delivery to third entities in full, partial or processed form without the previous explicit consent of "TransportOffice. NET" is prohibited and illegal.

38. Gate subscribers and users shall bear responsibility regarding all and any materials, data, information and opinions provided by them and, by such a provision it will be deemed that they possess and/or have been provided with publication, allegation and divulgation rights on these materials, opinions, including but not limited to any other information provided to the gate by them.

VI. Claims, petitions and suggestions

39. Subscribers’ claims, petitions and suggestions shall be considered and resolved by "TransportOffice. NET" not later than 1 month upon receipt, and Subscribers shall be informed in writing of the results.

VII. Settlement of disputes and applied jurisdiction

40. In case any disputes arise between "TransportOffice. NET" and any Subscriber in connection with the services rendered, these disputes shall be settle by mutual agreement and negotiations. If no settlement out-of-court is achieved, the Bulgarian Courts shall be the competent authorities to settle such disputes.

41. Any and all amendments hereto shall become operative after they are prominently displayed at the electronic gate.
